Ministry warns 21 companies face deregistration

A total of 21 local companies face deregistration and removal from the Samoa Companies Register for “no longer carrying out business” and have until 15 September to file an objection.
The deregistration warning was announced in a public notice signed and issued by the Chief Executive Officer of the Ministry of Commerce Industry and Labour (M.C.I.L.), Pulotu Lyndon Chu Ling.
According to the M.C.I.L. public notice published in the Government-owned Savali newspaper, the 21 local companies listed are no longer carrying on business.
The companies will be removed from the Samoa Register of Companies, pursuant to section 260 (a) of the Companies Act 2001 (“the Act”) as the company is no longer carrying on business, and there is no other reason for the company to continue in existence.
“The following companies will be removed from the Register after 20 working days from the date of the notice.”
But if the company satisfies the Registrar by notice in writing that it is still carrying on business or there is either reason for it to continue in existence then the company will not be removed from the Register.
The Ministry also invited any person who wished to object to the removal of the companies to file his or her objection with the Registrar of Companies by 15 September 2021.
The public was also advised that, “should any further clarification be required, please contact the Registries of Companies and Intellectual Properties Division, M.C.I.L., Level 3, ACC Building.”
According to the Ministry’s Annual Report Samoan 2016-2017 there were 32 companies deregistered in that financial year.
Last year a total of 256 companies were warned through public notices to comply with statutory requirements or be removed.
The local companies that have been warned of deregistration as published in the 18 August 2021 edition of the Savali newspaper include: C & F Company Limited; I & P Ngg Cho Limited; Blue Spring Limited; Haleck Apia Motors Limited; All About Samoa Construction Services Ltd; Cecilina Co Ltd; International Bible Students Association Limited; Pioneer Fire & Security Ltd; Fraser Thomas (Samoa) Limited; Ivilasi Consulting Ltd; Tasi Ah Yek & Sons Limited; Vistra Trust (Samoa) Limited; Capital Legal Services Limited; Airways International Limited; Samoa Compost Ltd; Simada Telecom Company Ltd; Miss You Limited; Coffee Roaster Limited; R & H Company Ltd; Uncle Bill Savaii Ltd; and Miracle Herbs Limited.
